By using Load Close sites, services, and mobile applications (together, "Load Close"), whether as a guest or a registered user, you accept and agree to be bound by these Terms. Please read these Terms carefully before you start to use Load Close, as well as the Load Close Privacy Policy. If you do not agree to these Terms or the Load Close Privacy Policy, you must not access or use Load Close.
Load Close is offered by Wombat Strategies LLC ("Wombat Strategies," "we," or "us"). We may revise and update these Terms from time to time at our sole discretion. Any changes are effective when we post them. Your continued use of Load Close following the posting of revised Terms means that you accept and agree to the changes.
Where Load Close has provided you with a translation other than the English language version of the Terms of Service, then you agree that the translation is provided for your convenience only and that the English language version will govern your relationship with Load Close. If there is any contradiction between the English language version of the Terms and any translation, the English language version shall take precedence.
While we hope to always offer Load Close and all of its features, we reserve the right to change or cease offering Load Close or any part, portion, or functionality of Load Close without notice. We will not be liable if for any reason all or any part of Load Close is unavailable at any time.
All information we collect on or through Load Close is subject to our Privacy Policy. By using Load Close, you consent to all actions taken by us in compliance with the Privacy Policy.
You may use Load Close in accordance with these Terms for your personal and non-commercial use or for the internal use of your non-profit religious organization. All rights not expressly granted to you are reserved by Wombat Strategies.
You agree you are not permitted and will not use Load Close in any way that:
Load Close allows users to post, submit, publish, display, or transmit content or materials ("User Contributions"). However, we do not undertake to review User Contributions before they are posted and assume no liability for any action or inaction regarding transmissions or content provided by users or third parties.
By providing any User Contribution, you grant us and our service providers the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose such material for any purpose. You represent and warrant that you own or control all rights to the User Contributions and that they comply with these Terms.
If you create an account on Load Close, you agree to maintain the confidentiality of your login information and notify us immediately of unauthorized access or security breaches. We may disable any account at our discretion if we determine a violation of these Terms.
We have the right to take action against any user, account, or User Contribution violating these Terms; disclose user information to law enforcement as required; and terminate or suspend access to Load Close for any reason.
The information presented on Load Close is for general purposes only. We do not guarantee the accuracy, completeness, or reliability of content, including translations. Any reliance on such information is at your own risk.
Load Close IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
WOMBAT STRATEGIES AND ITS AFFILIATES SHALL NOT BE LIABLE FOR DAMAGES ARISING FROM YOUR USE OF Load Close, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTIONS, EVEN IF FORESEEABLE.
Load Close and its content, features, and functionality (including text, images, software, and design) are owned by Wombat Strategies or its licensors and are protected by intellectual property laws. The Load Close name, logo, and related designs are trademarks of Wombat Strategies. You must not use these marks without prior written permission. All other trademarks are the property of their respective owners.
If you believe that content on Load Close infringes your copyright, please contact us at hello@wombatstrategies.com. We reserve the right to terminate user accounts of repeat infringers.
Load Close may contain links to third-party websites. We have no control over third-party content and are not responsible for any damages arising from their use.
Load Close is based in the United States, and we make no claims that it is accessible outside the U.S. If you access Load Close from another country, you do so at your own risk and are responsible for compliance with local laws.
You agree to indemnify and hold harmless Wombat Strategies and its affiliates from any claims, losses, or expenses arising from your use of Load Close or violation of these Terms.
All disputes relating to Load Close and these Terms shall be governed by the laws of the State of Arizona. Any legal proceedings shall take place in the courts located in Phoenix, Maricopa County. By using Load Close, you waive any objections to jurisdiction and venue in such courts.
If any provision of these Terms is deemed invalid, the remaining provisions will continue in full force. Any dispute, controversy, or claim arising out of or relating to these Terms, including their formation, interpretation, or breach, shall be resolved through binding arbitration in Phoenix, Arizona, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding on both parties, and judgment may be entered upon it in any court of competent jurisdiction.
These Terms and our Privacy Policy constitute the entire agreement between you and Wombat Strategies regarding Load Close. Load Close is operated by Wombat Strategies LLC.
